Acceptance of Terms
Acceptance of each shipment by the Buyer will constitute a separate agreement related to the amount, product, and terms of the invoice. All amounts due shall be paid in cash or in negotiable paper, collectable at face value in either U.S. dollars (for U.S. customers) or Canadian dollars (for Canadian customers) at the location specified on the Seller’s invoice. No deductions for exchange rates, customs, or other governmental fees will be allowed, as imposed by Buyer’s government or agencies. -
Taxes and Charges
Unless otherwise stated, Buyer is responsible for paying any taxes or charges imposed by law, including sales, use, and self-assessment taxes, directly related to the production, sale, shipment, or price of any materials sold by Shock Shop. -
Merchandise Returns
If Buyer requests the return of merchandise in place of payment, Shock Shop must approve the return. Returned merchandise must be shipped to the location designated by Shock Shop at the Buyer’s expense, with freight prepaid. Additionally, Buyer agrees to pay any current restocking fees as determined by Shock Shop. -
Non-fulfillment of Payment Terms
If the Buyer fails to fulfill payment terms, or if Shock Shop has doubts about the financial responsibility of the Buyer, Shock Shop reserves the right to halt further shipments unless payment is made in cash or acceptable security is provided. -
Warranty & Limitation of Liability
Shock Shop warrants that all AEDs, accessories, and related products sold are of standard quality. However, Buyer assumes all risks and liabilities arising from the use or disposal of these products, whether used alone or in combination with other materials. In case of a defect, Buyer must notify Shock Shop in writing within 15 days after the products are delivered, but no later than 30 days after shipment. If no such notification is made, claims for defects are waived. Shock Shop's warranty is limited to the purchase price of the defective items. The warranty excludes any implied warranties of merchantability or fitness for a particular purpose, and Shock Shop is not liable for any labor costs or consequential damages. The United Nations Convention on Contracts for the International Sale of Goods does not apply. -
Force Majeure
Shock Shop is not liable for delays or failures in delivery due to circumstances beyond its control, including fires, floods, strikes, natural disasters, wars, government regulations, or transportation delays. If such events limit product availability, Shock Shop reserves the right to prioritize its supply and allocate remaining stock at its discretion. -
Title and Risk of Loss
Title and risk of loss for all products pass to the Buyer upon delivery to a common carrier at the point of shipment. If delivery is made using Shock Shop’s transportation, title and risk pass upon unloading at the destination. -
Technical Assistance
Shock Shop may, at its discretion, provide technical advice or assistance regarding the use of its products. This assistance is offered without compensation, and Shock Shop assumes no liability for any outcomes resulting from such guidance. -
Free Samples
Any free sample provided by Shock Shop is given “AS IS.” The recipient accepts full responsibility for any risks and liabilities associated with using or handling the sample, including injuries or property damage. Recipients must determine the merchantability and suitability of the sample for their intended purpose before any commercial use. -
Damaged or Lost Goods
Any claims for goods lost or damaged during transit must be made by the Buyer directly with the carrier. Upon delivery, it is the Buyer’s responsibility to inspect the shipment for completeness and condition. Any visible damage or shortages must be noted on the bill of lading/packing slip. Failure to do so will be considered acceptance of the shipment in good condition. For concealed damage, Buyer should retain the packaging for carrier inspection and report the damage accordingly. Shock Shop is not responsible for freight damage or loss. -
Order Changes or Cancellations
Any request to change or cancel an order must be submitted at least 6 days prior to the scheduled shipping date. Orders cannot be rescheduled or canceled after this period
